Last updated:
Saibon Group AB | Reg. No: 559475-9218 | info@saibongroup.com
Effective: March 2026
1. About These Terms
These Terms of Service ("Terms") are a legally binding agreement between you ("you", "your", "Customer") and Saibon Group AB, reg. no. 559475-9218 ("Saibon", "we", "us", "our"). They govern your use of Saibon's AI-driven consultant-matching platform and all related services ("the Service").
Key terms used throughout these Terms:
| Term | Definition |
|---|---|
| The Service | Saibon's SaaS platform, including the Consultant Database, AI Matching Engine, CV Management, Marketplace Integration, and Sales Flow Automation, together with all updates and new features. |
| Customer Data | Any data or content that you or your Users upload, transmit, or otherwise process through the Service. |
| Users | Your employees, sub-consultants, and agents whom you authorise to access and use the Service. |
| Account Admin | The individual(s) you designate to manage your account, add or remove Users, and accept updates to these Terms on your behalf. |
| Subscription Details | The form completed at sign-up specifying the subscription plan, number of licences, and pricing. |
| Subscription | Your rolling subscription to the Service, beginning on the date you create your account. |
| Trial Period | A free or discounted access period granted before a paid Subscription begins, as described in Section 2. |
| Beta Features | Features or functionality made available on a preview or beta basis, as described in Section 9. |
| Prisbasbelopp | Prisbasbelopp (Swedish price base amount) under the Social Insurance Code (2010:110). |
2. Free Trial
2.1 We may, at our sole discretion, offer you a free trial of the Service for a period of 14 days ("Trial Period"). The Trial Period begins on the date you create your account. At the end of the Trial Period, your account will automatically convert to a paid Subscription at the applicable rate unless you cancel before the Trial Period expires.
2.2 During the Trial Period, the Service is provided free of charge and strictly "as is". No SLA commitments (Section 12), no uptime guarantees, and no support response-time targets apply during the Trial Period.
2.3 We reserve the right to modify, limit, or terminate your Trial Period at any time and for any reason, with 48 hours' notice.
2.4 We will send you a reminder at least 7 days before the Trial Period ends. If you do not cancel before the Trial Period expires, your account will automatically convert to a paid Subscription and your payment method on file will be charged. If no valid payment method is on file at the time of conversion, your access to the Service will be suspended until payment is provided. If payment is not provided within 30 days, your Customer Data will be permanently deleted. We will notify you by email before deletion occurs.
2.5 You may only use one free trial per company. Creating multiple accounts to extend a trial period is a violation of Section 13 (Acceptable Use).
3. Access to the Service
3.1 We will make the Service available to you and your Users in accordance with these Terms and your Subscription Details.
3.2 We may update and improve the Service over time. If we make changes that materially affect features you actively use, we will give you reasonable advance notice.
3.3 We may carry out scheduled maintenance. We will aim to do this outside of business hours (08:00–18:00 Mon–Fri, excluding Swedish public holidays) and will provide at least 48 hours' notice.
3.4 Account management. You must designate at least one Account Admin when you create your account. The Account Admin is responsible for managing Users, adjusting permissions, and keeping your account details up to date. You are responsible for all actions taken by your Users and your Account Admin.
3.5 Adding and removing Users. You may add or remove Users at any time through the account settings. You are responsible for promptly removing access for any individual who is no longer authorised to use the Service (e.g. upon termination of employment). We are not liable for any actions taken by former Users whose access was not revoked.
3.6 You are responsible for: (a) your internet connection and equipment; (b) ensuring your Users comply with these Terms; and (c) keeping your login credentials secure. Do not share passwords.
4. What You May — and May Not — Do
4.1 We grant you a non-exclusive, non-transferable right to use the Service for your company's internal business purposes during your Subscription.
4.2 You must not: (a) provide access to the Service to third parties for a fee or as a reseller; (b) copy, modify, or build competing products based on the Service; (c) reverse-engineer or attempt to extract the source code; (d) use the Service in any way that violates applicable law or these Terms.
4.3 Your account and licences are personal to your company. You can manage licences through your account settings or by contacting us at info@saibongroup.com.
5. Fees and Payment
5.1 The fees for your Subscription are set out in your Subscription Details or as displayed at checkout. Fees are invoiced in advance according to the billing cycle you select (monthly, quarterly, or annually).
5.2 Payment is due within 30 days of the invoice date.
5.3 If payment is overdue, we may charge statutory interest under the Swedish Interest Act (Räntelagen 1975:635) at the Riksbank reference rate plus 8 percentage points. If an invoice remains unpaid for more than 14 days after a written reminder, we may suspend your access until all outstanding amounts have been paid.
5.4 All fees are exclusive of VAT and any other applicable taxes. You are responsible for paying all such taxes.
5.5 We may adjust fees upon renewal by giving you at least 30 days' written notice before the renewal date.
6. Ownership: the Service and Your Data
6.1 The Service is ours. We own all intellectual property rights in the Service, its code, design, and documentation. You must not remove or obscure any trademark or copyright notices.
6.2 Your data is yours. You retain full ownership of all Customer Data. You grant us a limited licence to process Customer Data solely in order to provide the Service — nothing more. We will never use your data to train AI models without your prior written consent.
6.3 Feedback. If you send us ideas or suggestions about the Service, we may use them freely to improve the product without any obligation to compensate you.
7. Reference and Publicity
7.1 By default, we may display your company name and logo on our website and in marketing materials as a customer reference. This is subject to your opt-out right under clause 7.2.
7.2 You may opt out of this at any time by sending a written request to info@saibongroup.com. Upon receiving your opt-out request, we will remove any references within 14 days.
7.3 Any use of your brand beyond what is described in clause 7.1 — such as written case studies, press releases, or attributed customer quotes — requires your prior written consent.
8. Confidentiality
8.1 We will keep your confidential information strictly confidential and use it only to deliver the Service. You agree to do the same with our confidential information, including our pricing, technology, and business practices.
8.2 These confidentiality obligations remain in force during the Subscription period and for five (5) years after it ends. Obligations relating to trade secrets apply indefinitely.
9. Beta Features and Previews
9.1 We may make certain features or functionality available on a beta, preview, or early-access basis ("Beta Features"). Beta Features are clearly labelled as such in the product interface with a “Beta” badge or equivalent marking.
9.2 Beta Features are provided "as is" and "as available" without any warranty. The SLA commitments in Section 12 do not apply to Beta Features. We do not guarantee that Beta Features will be made generally available, and we may modify, limit, or discontinue any Beta Feature at any time without notice.
9.3 Your use of Beta Features is voluntary. Feedback you provide about Beta Features is treated as feedback under Section 6.3.
9.4 To the maximum extent permitted by law, we are not liable for any loss or damage arising from your use of, or reliance on, Beta Features.
10. Personal Data (GDPR)
10.1 Where we process personal data on your behalf in connection with the Service, our Data Processing Agreement (DPA) is incorporated by reference and applies automatically when you use the Service. The current version is available at saibongroup.com/legal.
10.2 Our AI features comply with the applicable requirements of the EU AI Act (Regulation (EU) 2024/1689).
10.3 You may request an export of your Customer Data in a machine-readable format at any time. We will deliver it within 30 days, in accordance with the EU Data Act (Regulation (EU) 2023/2854).
11. Security and Incident Notification
11.1 We maintain appropriate technical and organisational security measures to protect the Service and your Customer Data. These measures include encryption at rest (AES-256) and in transit (TLS 1.2+), role-based access controls, regular penetration testing, and logically isolated cloud infrastructure.
11.2 In the event we discover a security incident that results in, or is reasonably likely to result in, unauthorised access to, disclosure of, or loss of your Customer Data (a "Security Incident"), we will:
- (a) notify you at your registered email address without undue delay and, where feasible, within 72 hours of becoming aware of the Security Incident;
- (b) provide a description of the nature of the incident, the categories and approximate volume of Customer Data affected, and the likely consequences;
- (c) describe the measures we have taken or propose to take to address the incident and mitigate its effects.
11.3 You are responsible for notifying your own end-users and the relevant supervisory authority (in Sweden: Integritetsskyddsmyndigheten, IMY) if required by applicable data protection law.
11.4 You must promptly notify us at info@saibongroup.com if you become aware of any actual or suspected unauthorised access to your account or credentials. We are not responsible for any losses arising from your failure to notify us promptly.
12. Third-Party Integrations and Services
12.1 The Service may, at your option, connect with third-party services and platforms, including but not limited to: CRM systems, HR and workforce management platforms, applicant tracking systems (ATS), consultant databases, project management tools, communication and messaging services, calendar and scheduling integrations, external marketplace platforms, and payment processors (collectively, "Third-Party Services").
12.2 Third-Party Services are provided by independent third parties and are subject to their own terms and conditions. We are not responsible for the performance, availability, accuracy, or security of any Third-Party Service.
12.3 Downtime or degraded performance caused by a Third-Party Service is excluded from our SLA commitments in Section 15.
12.4 We will use commercially reasonable efforts to notify you of any material changes to the Third-Party Services that affect the core functionality of the Service, with 14 days' advance notice where possible.
12.5 By enabling a third-party integration within the Service, you authorise us to exchange your Customer Data with that third party to the extent necessary to provide the integration. You are responsible for reviewing and accepting the terms of any Third-Party Service you choose to connect.
13. What We Promise — and Do Not Promise
13.1 We promise that: (a) the Service will function materially as described in the documentation; (b) we have the right to offer it to you; and (c) we maintain appropriate technical and organisational security measures to protect your data.
13.2 If the Service does not work as promised, we will use our best efforts to fix it promptly. If we cannot do so within a reasonable time, you may cancel your Subscription and receive a pro-rata refund of any prepaid, unused fees.
13.3 Beyond what is stated above, the Service is provided "as is". We make no further warranties, express or implied.
14. Liability and Limitations
14.1 Neither of us will be liable to the other for indirect losses, lost profits, loss of revenue, or consequential damages, regardless of how they arise.
14.2 Each party's total aggregate liability under these Terms is capped at five (5) prisbasbelopp per calendar year (2026: SEK 294,000). This cap updates automatically each year in line with the prisbasbelopp.
14.3 The above limitations do not apply to: death or personal injury caused by negligence; fraud; gross negligence or wilful misconduct; or any other liability that cannot be excluded or limited under applicable Swedish law.
15. Indemnification
15.1 If a third party claims that our Service — used in accordance with these Terms — infringes their intellectual property rights, we will defend you and cover any damages finally awarded, provided that you notify us promptly and give us sole control of the defence.
15.2 You will indemnify us against third-party claims arising from your Customer Data, your breach of these Terms, or your use of the Service in violation of applicable law.
16. Subscription and Cancellation
16.1 Your Subscription begins on the date you create your account (or, if you had a Trial Period, on the date you activate your paid Subscription) and continues on a rolling basis until cancelled.
16.2 Either party may cancel the Subscription at any time by giving the other at least 30 days' written notice. There is no minimum commitment period.
16.3 Either party may terminate immediately by written notice if: (a) the other party commits a material breach and fails to remedy it within 30 days of written notice; or (b) the other party becomes insolvent or enters insolvency proceedings.
16.4 We may suspend your access without prior notice if we have reasonable grounds to believe you are misusing the Service (see Section 17 below) or if a payment remains outstanding for more than 14 days after a reminder.
16.5 When your Subscription ends: your licences terminate immediately. You may export your Customer Data within 60 days of termination — after that, we will permanently delete it from our systems.
17. Service Levels (SLA) and Penalty Credits
17.1 We aim to keep the Service available at least 99.5% of the time in any calendar month.
17.2 If we fall below this target, you are entitled to a credit against your next invoice according to the table below. Credits are issued without requiring you to prove actual loss (vite under Swedish law).
| Actual availability | Credit applied to next invoice |
|---|---|
| >= 99.0% but < 99.5% | 10% of the monthly fee |
| >= 95.0% but < 99.0% | 25% of the monthly fee |
| < 95.0% | 50% of the monthly fee |
17.3 Credits are capped at 50% of your monthly fee per calendar month and cannot be redeemed as cash. To receive a credit, you must submit a written request to info@saibongroup.com within 30 days of the end of the relevant calendar month.
17.4 SLA commitments do not apply to: Trial Periods (Section 2); Beta Features (Section 9); downtime caused by scheduled maintenance; your equipment or actions; Third-Party Services (Section 12); or force majeure events.
17.5 Support. We provide technical support via info@saibongroup.com during business hours (08:00–18:00 Mon–Fri, excluding Swedish public holidays):
| Priority | Response time | Target resolution |
|---|---|---|
| P1 — Service unavailable | 4 business hours | 8 business hours |
| P2 — Major functionality impaired | 1 business day | 3 business days |
| P3 — Minor issue | 2 business days | 5 business days |
| P4 — General enquiry / request | 3 business days | Best efforts |
18. Acceptable Use
18.1 You must not use the Service to: store or distribute illegal content; send spam or unsolicited messages; carry out security attacks or penetration testing without our prior written approval; automate requests in a way that places unreasonable load on our systems; or circumvent our licensing or billing mechanisms.
18.2 If you breach these rules, we may suspend your access immediately. If the breach is not remedied within 10 days of notice, we may terminate your account.
19. General
19.1 Governing law. These Terms are governed by the laws of Sweden. Any disputes will be finally resolved by Stockholms tingsrätt (Stockholm District Court).
19.2 Good faith. We will always act in good faith towards each other.
19.3 Entire agreement. These Terms, your Subscription Details, and any DPA constitute the entire agreement between us.
19.4 Order of precedence. In the event of a conflict: (1) your Subscription Details prevail; (2) these Terms; (3) our documentation.
19.5 Updates to these Terms. We may update these Terms from time to time. We will notify you by email at least 30 days before any changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
19.6 Assignment. You may not transfer your account or any rights under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of substantially all our assets.
19.7 Force majeure. Neither party is liable for delays caused by events beyond their reasonable control, including natural disasters, pandemics, war, or infrastructure outages. This does not excuse payment obligations.
19.8 Notices. We will send important notices to the email address you registered with. Please keep it up to date.
19.9 Waiver. If either party fails to enforce any provision of these Terms on a particular occasion, this does not constitute a waiver of the right to enforce that provision in the future.
19.10 Export controls. You represent that you are not located in, and are not a national or resident of, any country subject to EU or UN sanctions, and that you are not listed on any EU, UN, or Swedish sanctions list.
19.11 Severability. If any provision of these Terms is found to be invalid or unenforceable, that provision will be modified to the minimum extent necessary, and the remaining provisions will continue in full force.
